Terms of Service

By creating an account, accessing, or using the KudosCourts website, mobile applications, and related services (collectively, the "Platform"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
1) Definitions
- "Player" / "Customer": a user who searches for courts and requests reservations.
- "Owner" / "Venue Operator": a user who lists venues/courts and manages availability, reservation policies, and confirmations.
- "Reservation": a booking request made through the Platform for a time slot at a listed venue/court.
- "Organization": an Owner account and its associated venue(s)/court(s).
- "UGC": user-generated content including photos, logos, descriptions, and metadata.
- "Payment Proof": optional information a Player may provide (e.g., reference number, notes, receipt image/screenshot) to help an Owner verify an off-Platform payment.
2) Platform Role: Facilitator Only (No Card Payments / No Escrow)
KudosCourts provides discovery and reservation facilitation. Unless we explicitly state otherwise in writing:
- We do not process card payments, hold funds, or provide escrow.
- We are not a party to transactions between Players and Owners.
- Payments (if any) occur off-Platform using payment instructions provided by Owners.
- We do not guarantee reservations, venue availability, rates or prices, or service quality.
3) Eligibility & Account Registration
You must be able to enter into a binding agreement under applicable law (generally, 18 years old or older).
You agree to provide accurate, current information and keep it updated. You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activities under your account.
- Not sharing your account or misrepresenting your identity.
We may require additional verification for certain accounts or activities.
4) User Roles & Responsibilities
Players / Customers
Players may:
- Discover courts/venues and request Reservations.
- Mark payments as completed (as a status indicator).
- Optionally submit Payment Proof.
- Cancel Reservations within applicable policies.
Players agree to:
- Follow venue rules, safety requirements, and Owner policies.
- Make any required payment directly to the Owner as instructed.
- Provide truthful information regarding payment status and Payment Proof.
Owners / Venue Operators
Owners may:
- List and manage courts/venues and availability.
- Set reservation and cancellation policies (including cutoffs and non-refundable terms).
- Accept, confirm, reject, or cancel Reservations.
- Provide payment instructions to Players.
Owners are responsible for:
- Accuracy of listings (rates, availability, policies, location, amenities).
- Compliance with applicable laws (permits, tax, consumer rules, safety).
- Resolving disputes regarding payments, refunds, and service delivery.
5) Reservation Lifecycle; Not Binding Until Confirmed
Reservation states may include:
- Created / Requested
- Awaiting payment (time-limited)
- Payment marked by Player
- Confirmed
- Cancelled
- Expired (automatic)
Key rules:
- A Reservation is not binding until it is confirmed by the Owner.
- Reservations may expire automatically if time limits lapse (including payment time limits).
- Cancelled or expired Reservations release the time slot for others.
6) Payments; "Payment Marked" and Payment Proof
- Owners provide payment methods and instructions (e.g., bank transfer, e-wallet).
- The Platform does not store card details and does not process payments.
- "Payment marked" reflects what a Player indicates in the Platform. We do not confirm, validate, or guarantee payment.
- The Platform may allow Players to submit Payment Proof (e.g., reference number, notes, receipt image) to help Owners verify an off-Platform payment. Owners decide whether to accept/confirm a Reservation.
7) Cancellations, No-Shows, and Refunds
- Cancellation rules are configurable per Organization and may include cutoff times and non-refundable bookings.
- Refunds (if any) are handled directly between Player and Owner off-Platform.
- KudosCourts does not mediate, guarantee, or enforce refunds, compensation, or credits.
Owners and Players are responsible for resolving disputes related to cancellations, no-shows, and refunds.
8) User Content (UGC) & License
You may upload UGC such as court/venue photos, organization logos, descriptions, and Payment Proof.
You represent that you own or have the rights to upload UGC and that it does not infringe third-party rights.
By uploading UGC, you grant KudosCourts a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting), display, distribute, and use such content:
- to operate and improve the Platform,
- to display listings and Reservation details to authorized users,
- and for Platform marketing and promotion (e.g., featuring venues), unless prohibited by law.
9) Prohibited Conduct
You agree not to:
- Provide false information (including false payment status or Payment Proof).
- Engage in fraud, harassment, abuse, or discriminatory conduct.
- Post illegal, obscene, or infringing content.
- Interfere with Platform security or attempt unauthorized access.
- Scrape, reverse engineer, or misuse the Platform.
10) Moderation, Enforcement, Suspension, and Termination
We may, in our discretion and without liability:
- Remove or restrict UGC or listings.
- Suspend or terminate accounts for fraud, repeated no-shows, abuse, policy violations, or legal risk.
- Cancel Reservations or delist venues to protect users or the Platform.
Where feasible, we may provide notice, but we are not obligated to do so in urgent cases (e.g., safety, fraud, legal compliance).
11) Third-Party Services and Links
The Platform may contain links to third-party sites or services (including payment services used off-Platform). We are not responsible for third-party content, policies, or services.
12) Disclaimers
To the maximum extent permitted by law:
- The Platform is provided on an "as is" and "as available" basis.
- We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that listings are accurate, that venues are safe, or that Reservations will be accepted, confirmed, or honored.
13) Limitation of Liability
To the maximum extent permitted by Philippine law, KudosCourts will not be liable for:
- Venue quality, safety, or suitability.
- Owner cancellations, rejections, or changes.
- Payment disputes, refunds, chargebacks, or non-payment.
- Lost profits, lost revenue, missed Reservations, or consequential damages.
- Incorrect information provided by users.
Our total liability for any claim arising out of or relating to the Platform will not exceed the amounts paid to us (if any) in the past 3 months, unless prohibited by law.
14) Indemnity
You agree to indemnify and hold harmless KudosCourts and its officers, employees, and agents from claims arising out of:
- your use of the Platform,
- your UGC,
- your violation of these Terms,
- your dealings with other users (including payment and refund disputes).
15) Changes to the Platform and Terms
Features, flows, and policies may evolve. We may update these Terms by posting a revised version with a new effective date. Continued use after changes means you accept the updated Terms.
16) Governing Law; Venue
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles.
Any dispute shall be filed in the courts of [City/Municipality], Philippines, unless a mandatory consumer protection rule requires otherwise.
